Background

CGP advised a private equity controlled technology company on aligning executive and director compensation practices before listing on a stock exchange (Pre-IPO) .

Analysis

We benchmarked executive and director compensation against a peer group of North American publicly-traded companies of comparable size and operations across North America to determine appropriate compensation.

  • Next CGP aligned various areas of compensation for prospectus disclosure, including:

  • Development of a compensation philosophy

  • Long-term incentive design alternatives and preferred design

  • Change-in-control and termination provision practices


Throughout the project, CGP prepared and then collaborated closely with the client’s Board, management and outside legal and financial advisors to adhere to the IPO timeline.

Outcome

CGP reviewed all aspects of executive and director compensation, including the CD&A for prospectus disclosure.
